How do I know the earnings a seller claims are real? +

Through proper verification: reviewing financial statements, tax filings, sales records, and supplier invoices, ideally with your accountant. Many businesses are marketed on add-backs and projections that do not hold up. We help structure the offer with conditions that let you and your accountant confirm the real, provable cash flow before you are committed.

What happens to the lease when I buy a business? +

For a business sold without the real estate, the lease must usually be assigned to you, which typically requires the landlord's consent and sometimes a new or renegotiated lease. The remaining term and renewal options are critical, because the location often is the business. We review and negotiate the lease assignment as a core part of the transaction.

Should I buy the business with or without the real estate? +

It depends on your capital and strategy. Buying the real estate too gives you control of the location and an appreciating asset, but requires more money. Buying just the business is lighter but leaves you dependent on the lease. We help you weigh the options and, where the real estate is available, evaluate both paths.

How is the transition from the previous owner handled? +

A good deal builds in a transition: a training period where the seller stays to hand over operations, supplier and customer relationships, and key staff, plus a non-compete so the seller does not reopen nearby. This protects the goodwill and cash flow you are paying for. We negotiate these terms into the purchase rather than leaving them to chance.
